A Filingpoint company's domicile is determined by the location of its registered office. Therefore, any changes in the registered office should be notified to the registrar of companies (ROC) immediately. The ROC will verify the address and ensure that all compliances have been fulfilled. If the ROC finds any default, it will impose a penalty on the company and its officers.
The process to shift the registered office of a company can be divided into three categories: changing within the same city, shifting between two cities within the same state and shifting from one state to another. The procedure for each is different.
If a company wants to change its registered office within the same city, it should convene a board meeting and pass a special resolution. Then, it must file form INC-22 and MGT-14 with the MCA within 30 days of the resolution. It is also required to attach documents such as the utility bill for business address proof, NOC from the owner and the rental agreement if the new place is rented.
If a company wants to change its registered offices from one city to another within the same state and ROC, it must first apply for approval from the regional director. Once the approval is granted, it must submit the confirmation to the ROC within 60 days of the confirmation from the RD. If the ROC doesn't confirm the change within that time frame, the company will be subject to penalty.
