Adding a Director in a company can be done through a Board Resolution approved by the Company and with the consent of the existing Directors. The Company should apply for a Digital Signature Certificate (DSC) of the proposed Director and obtain his/her DIN number before proceeding with the process of changing directors. The Company will also need to provide proof of residence and identification documents like Passport/Election Card/Driving License/Aadhaar Card, along with other documentation for the added Director. Once the Director is alloted a DIN, the Company must file Form DIR-11 and Form DIR-12 along with the attachments of the Board Resolution and Ordinary Resolution with the Registrar of Companies. The Director's name will be removed from the MCA database once the ROC department receives all the necessary forms and other documents. In case, the Director is dissatisfied with the removal and wishes to appeal against it, he/she can approach the NCLT by filing a Writ Petition.
